These Terms of Service govern your access to and use of the website, applications, APIs, dashboards, and related services provided by Aasamedchem Private Limited (referred to as Aasamedchem, we, us, or our). By accessing or using the Platform you agree to these Terms. If you do not agree, do not use the Platform.
1. Definitions
- Platform: The Aasamedchem website, mobile apps, APIs, dashboards, and related services.
- User: Any person or entity that accesses or uses the Platform, including Buyers, Suppliers, Brokers, Traders, and Service Providers.
- Buyer: A User seeking to purchase pharmaceutical raw materials or related services.
- Supplier: A User offering pharmaceutical raw materials, intermediates, or related services.
- Transaction: Any commercial exchange, order, payment, or contract facilitated through the Platform.
- Compliance Documents: Licenses, test reports, certificates, and other documents required to verify regulatory compliance.
2. Eligibility and Account Registration
- Minimum age: Users must be at least 18 years old and legally capable of entering into binding contracts.
- Authorized representatives: Organizations must register through an authorized representative who confirms authority to bind the organization.
- Accuracy of information: Users must provide accurate, current, and complete information and keep it updated.
- Right to refuse: Aasamedchem may refuse registration, suspend, or terminate accounts at its discretion, including where false information is provided.
3. Account Security and User Responsibilities
- Credential security: Users are responsible for maintaining the confidentiality of account credentials and for all activity under their account.
- Breach notification: Users must notify Aasamedchem immediately of any unauthorized use or security breach.
- Prohibited account use: Users must not share accounts, impersonate others, or allow unauthorized access.
- Verification: Aasamedchem may require multi-factor authentication, KYC, or additional verification for certain activities.
4. Acceptable Use
- Permitted use: Use the Platform only for lawful, legitimate business purposes related to pharmaceutical raw materials and services.
- Prohibited activities: Fraud, money laundering, offering illegal products, misrepresenting product origin or compliance, uploading malware, scraping or reverse-engineering the Platform, and any activity that harms other Users or the Platform.
- Legal compliance: Users must comply with all applicable laws, regulations, and industry standards including export controls and safety regulations.
5. KYC, Compliance Verification, and Trust Badges
- Verification requirement: Suppliers and certain Buyers must complete KYC and compliance verification before listing or transacting.
- Document submission: Users must upload accurate Compliance Documents. Aasamedchem may verify documents directly or through third-party verifiers.
- Badges and ratings: Trust badges, compliance ratings, and insurance indicators are informational only and do not replace regulatory approvals or buyer due diligence.
6. Transactions, Pricing and Fees
- Facilitation role: The Platform facilitates introductions, listings, and transaction workflows; contracts for sale are formed directly between Buyers and Suppliers unless otherwise stated.
- Fees: Aasamedchem may charge fees, commissions, subscription charges, or service fees. Fee schedules are published on the Platform and may change with notice.
- Payments and taxes: Payment terms, invoicing, taxes, and currency conversion are governed by the transaction terms agreed between the transacting parties and the payment provider's terms.
- No party to contract: Aasamedchem is not a party to the underlying sale contract unless explicitly stated in writing.
7. Insurance and Risk Allocation
- Insurance options: Insurance-backed transaction options are governed by separate insurance agreements and policies.
- Policy terms: Coverage, limits, exclusions, and claims procedures are determined by the insurer; Users must review those terms.
- Risk allocation: Unless otherwise agreed, risk of loss, title, and product liability remain with the transacting parties as per their contract.
8. Intellectual Property
- Platform ownership: All Platform content, trademarks, logos, software, and documentation are owned by or licensed to Aasamedchem.
- User data license: Users retain ownership of uploaded data but grant Aasamedchem a worldwide, non-exclusive, royalty-free license to host, display, reproduce, and use that data to provide and improve services.
- Restrictions: Users must not copy, modify, distribute, or create derivative works of Platform content without express written permission.
9. User Content and Representations
- User warranties: Users represent and warrant they have the right to upload and share any content and that such content does not infringe third-party rights.
- Content removal: Aasamedchem may remove or disable access to content that violates these Terms or applicable law.
- Accuracy responsibility: Users are responsible for the accuracy of product descriptions, compliance claims, and documentation.
10. Dispute Resolution Between Users
- Primary responsibility: Disputes arising from Transactions are primarily the responsibility of the transacting parties.
- Platform assistance: Aasamedchem may provide dispute resolution tools or mediation services but is not required to resolve disputes.
- Account restrictions: Aasamedchem may suspend accounts or restrict access pending investigation of disputes or suspected fraud.
11. Limitation of Liability
- Cap on liability: To the maximum extent permitted by law, Aasamedchem's liability for any claim arising from or related to these Terms or the Platform is limited to direct damages up to the total fees paid by the User to Aasamedchem in the 12 months preceding the claim.
- Exclusion of damages: Aasamedchem is not liable for indirect, incidental, special, punitive, or consequential damages including lost profits, loss of business, or reputational harm.
- Non-waivable liabilities: Nothing limits liability for death or personal injury caused by negligence or other liabilities that cannot be limited by law.
12. Indemnification
User indemnity: Users agree to indemnify, defend, and hold harmless Aasamedchem and its officers, directors, employees, and agents from claims, losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising from: (a) User's breach of these Terms; (b) User's negligence or willful misconduct; (c) User content or product claims; or (d) User's violation of applicable law.
13. Suspension and Termination
- Grounds for action: Aasamedchem may suspend or terminate accounts for violations of these Terms, suspected fraud, regulatory non-compliance, or at its discretion.
- Data retention: Upon termination, Aasamedchem may delete or retain User data as required by law or for legitimate business purposes.
- Surviving obligations: Termination does not relieve Users of obligations incurred prior to termination, including payment obligations and indemnities.
14. Modifications to the Platform and Terms
- Right to modify: Aasamedchem may modify the Platform, features, and these Terms. Material changes will be communicated via email or platform notification with reasonable notice. Continued use after notice constitutes acceptance.
- User responsibility: Users are responsible for reviewing updates.
15. Governing Law and Jurisdiction
- Governing law: These Terms are governed by the laws of India.
- Jurisdiction: Any disputes will be subject to the exclusive jurisdiction of courts in Delhi, India, unless otherwise agreed in writing.

17. Miscellaneous
- Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
- Entire agreement: These Terms constitute the entire agreement between the User and Aasamedchem regarding the Platform.
18. Force Majeure
Aasamedchem shall not be liable for any failure or delay in performance of its obligations under these Terms where such failure or delay results from events beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, epidemics, war, terrorism, riots, labor strikes, government orders or restrictions, power failures, internet or telecommunications disruptions, supply chain interruptions, or failures of third-party service providers.
19. Disclaimer of Warranties
The Platform and all services are provided on an "as is" and "as available" basis. To the maximum extent permitted by law, Aasamedchem expressly disclaims all warranties, whether express, implied, statutory, or otherwise, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, completeness, non-infringement, uninterrupted availability, or error-free operation.
Aasamedchem does not warrant that the Platform will meet User requirements, be secure, or operate without interruption or defects.
20. Product Safety and Regulatory Disclaimer
Aasamedchem does not manufacture, store, package, label, test, certify, or transport any pharmaceutical products listed or transacted on the Platform.
Aasamedchem makes no representations or guarantees regarding product quality, safety, efficacy, legality, regulatory approval, shelf life, or suitability for any intended use. Buyers are solely responsible for conducting independent verification, quality checks, regulatory compliance, and due diligence prior to purchase or use of any products.
21. No Agency, Partnership, or Employment Relationship
Nothing in these Terms shall be deemed to create any agency, partnership, joint venture, fiduciary, or employment relationship between Aasamedchem and any User. No User has authority to bind or represent Aasamedchem in any manner.
22. Account Inactivity and Dormancy
Aasamedchem reserves the right to suspend or deactivate User accounts that remain inactive for a continuous period of twelve (12) months or longer, after providing reasonable notice where practicable. Reactivation may require updated verification and compliance checks.
23. Automated Access and API Usage
Users shall not access, scrape, crawl, monitor, or copy any content or data from the Platform through automated means, bots, scripts, or scraping tools except through officially documented APIs and strictly in accordance with applicable API terms and technical documentation.
Unauthorized automated access may result in immediate suspension or termination.
24. Feedback and Suggestions
Any feedback, ideas, suggestions, improvements, or recommendations submitted by Users regarding the Platform or services may be used by Aasamedchem without restriction, attribution, or compensation. Such feedback shall be deemed non-confidential and non-proprietary.
25. Governing Language
These Terms are drafted in the English language. In the event of any inconsistency or conflict between translations, the English version shall prevail.

Aasamedchem shall acknowledge complaints within a reasonable time and endeavor to resolve them within thirty (30) days.
27. Data Breach Notification
In the event of a personal data breach that is likely to result in harm, Aasamedchem shall notify affected Users and relevant authorities as required by applicable law, and take reasonable steps to mitigate potential risks.
28. Call Recording and Communications Consent
Where permitted by law and with User consent, calls, meetings, or communications may be recorded for quality assurance, training, security, compliance verification, and dispute resolution purposes.
29. Survival
Sections relating to Intellectual Property, Limitation of Liability, Indemnification, Governing Law, Jurisdiction, Dispute Resolution, and any obligations intended to survive termination shall continue to remain in effect after termination or expiration of these Terms.
